The VM-ETH2 gives a VM Series panel an Ethernet connection for remote programming and diagnostics, plus the added ability to report to compatible digital alarm receivers over that same connection - one card instead of a separate dialer path. It's a straight upgrade over the base VM-ETH1: same connectivity, more reporting capability.
